End User License Agreement (EULA)
Please carefully read this Software License Agreement (“License”) before using the software. By using the software, you agree to be bound by the terms of this License. If you are accessing the software electronically, clicking the “Agree/Accept” button signifies your agreement to the terms of this License. If you do not agree to the terms of this License, do not use the software. If applicable, return the FoneSpring software to the place of purchase for a refund. If the software was accessed electronically, click “Disagree/Decline”.
Note: If you do not have a valid license for the software, you are not authorized to install, copy, or use the software except as necessary for your trial period.
- Intellectual Property Rights
The FoneSpring software program (referred to as the “Software”) and accompanying written materials are proprietary products of FoneSpring Ltd. (referred to as “FoneSpring”) and are protected by copyright laws and international treaties. Trademarks may only be used to identify printed output produced by the Software. This Agreement does not grant you any intellectual property rights in the Software, except as specifically stated.
- General License Usage and Restrictions
This License allows you to install and use one copy of the Software on a single computer at a time. The Software cannot be used on more than one computer simultaneously, and it cannot be hosted on a network for use on multiple computers. You may make a backup copy of the software for archival purposes, provided that the backup includes all copyright and proprietary notices.
Sharing the software with others or allowing them to view its contents violates the license. You cannot use the software for commercial purposes or provide it to multiple users unless you have obtained a commercial/multi-user license.
- Transfer
You may not rent, lease, lend, redistribute, or sublicense the Software. However, you may make a one-time permanent transfer of all your license rights to another party, provided that: (a) the transfer includes the entire software, including all components, original media, and the license; (b) you do not retain any copies of the software; (c) the receiving party agrees to the terms of this license, and (d) this software is NFR (Not for Resale), and you may not rent, lease, lend, redistribute, sublicense, or transfer any modified or replaced software.
NFR (Not for Resale) Copies: Promotional copies of the Software provided to you may only be used for demonstration, testing, and evaluation purposes and cannot be resold or transferred.
- Termination
This License is effective until terminated. FoneSpring may terminate this License without notice if you fail to comply with its terms. Upon termination, you must cease all use of the Software and remove all copies, full or partial, from your computer or storage devices.
- Disclaimer of Warranties
You acknowledge and agree that the use of the Software is at your sole risk. The Software is provided “as is,” without any warranties or conditions, express, implied, or statutory. FoneSpring and its licensors disclaim all warranties and conditions regarding the Software, including but not limited to, the implied warranties and/or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third-party rights. FoneSpring does not warrant that the Software will meet your requirements, operate uninterrupted or error-free, or that any defects will be corrected. Any oral or written information or advice provided by FoneSpring or its authorized representatives shall not create a warranty. You assume the entire cost of all necessary servicing, repair, or correction in the event of any defect in the Software.
- Limitation of Liability
Subject to applicable laws, FoneSpring shall not be liable for any personal injury or any incidental, special, indirect, or consequential damages arising from or related to your use or inability to use the software. This includes damages for loss of profits, loss of data, business interruption, or any other commercial damages or losses, regardless of the theory of liability (contract, tort, or otherwise), even if FoneSpring has been advised of the possibility of such damages. In jurisdictions where the limitation of liability for personal injury or incidental or consequential damages is not allowed, this limitation may not apply to you. The limitations stated above will apply even if the stated remedy fails to fulfill its essential purpose.
- Miscellaneous:
A. If you acquired the software in the United States, this End User License Agreement (EULA) is governed by the laws of the United States. If the software was acquired outside the United States, local laws may apply.
B. FoneSpring prohibits the use of the software for any activities that violate local laws. If you use the software for illegal purposes, you assume full responsibility for the consequences. If you disagree with this provision, please refrain from installing or using the software.
C. If any provision of this Agreement is deemed unlawful, void, or unenforceable, the remaining provisions of the Agreement shall remain in full force and effect. The invalidation of a provision shall not affect the validity and enforceability of the remaining provisions. This Agreement constitutes the entire agreement between the parties and supersedes any prior proposals or communications regarding the subject matter.
D. LANGUAGE – The original English version of the terms may have been translated into other languages.
